Insurance and Pensions

Our Insurance and Pensions team acts for many international and domestic life companies advising on establishment and authorisation, cross-border passporting and home state v host state issues, capitalisation and distribution issues, corporate re-organisations/due diligence, corporate governance and compliance (compliance plans, procedures, reports, data protection, anti-money laundering).

We also advise on policy documentation, product related issues (standard unit/index linked, portfolio bonds, etc.), ISDAs, contractual negotiations with TPAs, asset managers, other counterparties, as well as on insurance mediation and distribution and asset management issues.

In the Non-life area, we advise international and domestic general insurers, captives, health insurers and reinsurers and brokers. Our Securitisation and Structured Finance team also advise on insurance securitisation structures.

With input from other practice teams, we also advise insurers on employment contracts, property related matters (purchase/letting of premises, residential accommodation for staff) and provide full service company secretarial services.


Recent transactions include:

  • advising new life company start up for large continental insurance group
  • advising domestic health insurer on EU competition and Irish risk equalisation issues
  • acting as Irish legal and tax counsel to a number of insurance securitisations 
  • portfolio bond product design for cross border business
  • advising bankruptcy trustees in orderly wind down of captive insurer
  • advising on compliance programme for domestic pension consultancy
