Capital Markets

In addition to the work carried out by our Securitisation and Structured Finance and Irish Stock Exchange Debt Listing  groups in advising on domestic and international securitisations, MTN and CP programmes and other structured debt issuances, our Capital Markets team provides securities law, company law, taxation and stock exchange listing advice in relation to both public and private debt and equity issuance. 

On the debt capital markets side the firm advises a number of regular issuers in relation to a variety of standalone and multi-issuance debt transactions. 

The group also has a growing practice in providing Irish securities law (e.g. prospectus, transparency and market abuse) and other advices to major financial institutions and issuers offering equity and debt securities into Ireland.

On the equity capital markets side the firm has recently advised:

• AIG in relation to the secondary listing of its common stock on the Irish Stock Exchange.  
• FBD in relation to its recent return of capital to shareholders
• The board of FBD plc in relation to the approaches by Eureko
• A significant shareholder in the Depfa bank / HRE merger
• The board of an authorised investment company on its defence of a hostile take over
