PROFILE: James joined Dillon Eustace in 2012. Prior to this he was a banking and finance partner for 14 years in London at Travers Smith LLP. His clients include, commercial banks, central banks, corporates, hedge funds, private equity houses, trustees and export credit agencies. His work has involved an extensive range of capital markets work in both debt and convertible instruments, derivatives, structured finance, acquisition finance and project finance. James has spoken at numerous conferences and written articles on various finance topics.
He is the author in Tolley’s Company Law on debt instruments which he updated in 2011. At the invitation of the Bank of England he gave a talk at the Bank of England to the representatives of central banks from sixteen Central European and CIS Member States about issues of concern in payment and settlement systems.
REPRESENTATIVE ACTIONS:

Acted for the Peel Group on the £610 million securitization of the Trafford Centre and a subsequent £374 million tap issue as well as on various financings for its ports, airports and property divisions.

Advising Export Finance Insurance Corporation of Australia on its US 2.5 billion MTN programme and numerous note issues under the programme.

Advising an Irish SPV (backed by a leading investment bank) on the securitization of £150 million of receivables from its car component subsidiaries in several European countries.

Advising in 2010 and 2011 the pension trustees of the ITV Pension Scheme on the use of a form of synthetic whole business securitization to help reduce the pension deficit.

Advising numerous other pension scheme trustees on swaps including credit default swaps.

Advising corporates on fixed rate bonds, FRN’s, convertible bonds and derivatives

Advising a Central Bank on its close out provisions under various ISDA and Repo Agreement with investment banks.

Advising on numerous equity collars and forward rate equity derivatives as a means of raising finance on shares.

Advising Kroll 2008 – 2010 on the administration of the Peloton Hedge Fund and close out of derivative trades with 14 bank counterparties.

Advising the metal trading subsidiary of a US investment bank on its purchase of gold and silver from the central banks of Kazakhstan, Uzbekistan and Russia.

Advising a Finnish company on the financing of copper smelting plant in Portugal.

Advising a consortium on the financing of an oil and gas project in the sea of Okhotsk off the Sakhalin Islands.
